Terms of Service
These terms govern access to and use of IndieMagic during its private beta. Draft effective date: June 13, 2026.
⚠ Draft — pending legal review
This document is an early working draft provided for IndieMagic's private beta and for integration-partner onboarding. It has not yet been reviewed by legal counsel, does not constitute legal advice, and is not a final or binding agreement. Reviewed terms will be published before IndieMagic leaves beta.
1. Overview
IndieMagic ("IndieMagic," "we," "us," or "our") provides a modular set of operational, analytics, and integration tools for independent retailers ("the Service"). By creating an account or using the Service, the store and the individuals who access it on the store's behalf ("you") agree to these Terms of Service ("Terms"). The IndieMagic operating legal entity will be identified here upon legal review.
2. Beta service
The Service is offered on a pre-release, private-beta basis. It is provided "as is" and "as available," may change or be discontinued at any time, and is not guaranteed to be error-free, uninterrupted, or fit for any particular operational reliance. Beta features should not be treated as a system of record.
3. Accounts and eligibility
Access is currently limited to invited stores and their authorized team members. You are responsible for maintaining the confidentiality of your credentials, for all activity under your account, and for ensuring the people you invite are authorized to act for your store. You must be able to form a binding agreement on behalf of your store to accept these Terms.
4. Your store's systems and data
The Service connects to systems your store already uses (for example, your point-of-sale, inventory, email-marketing, and delivery-marketplace accounts). By connecting a system, you authorize IndieMagic to access, import, process, and display data from that system on your store's behalf for the purpose of providing the Service. You represent that you have the right to connect those systems and to authorize this access.
5. Third-party integrations
The Service interoperates with third-party providers, which may include point-of-sale systems (such as BookManager), email-marketing providers (such as Mailchimp), delivery marketplaces (such as DoorDash), and authentication providers (such as Google). Your use of each third-party service is governed by that provider's own terms and policies. IndieMagic is not responsible for the availability, accuracy, or actions of third-party services, and connecting them is at your discretion.
6. Acceptable use
You agree not to misuse the Service, including by attempting to access data or accounts that are not yours, interfering with or disrupting the Service, reverse engineering it except as permitted by law, or using it to violate any applicable law or the rights of others.
7. Intellectual property
IndieMagic and its underlying software, design, and content are owned by IndieMagic and its licensors. These Terms do not transfer any ownership in the Service to you. Your store's own data remains yours.
8. Fees
Pricing for the Service during beta will be communicated separately and may change. Sections of the Service may be offered without charge during the beta period.
9. Disclaimers and limitation of liability
To the maximum extent permitted by law, the Service is provided without warranties of any kind, and IndieMagic disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, IndieMagic will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or business, arising from your use of the Service. (Final liability and warranty terms are subject to legal review.)
10. Termination
You may stop using the Service at any time. We may suspend or terminate access if these Terms are violated or if needed to protect the Service or its users. On termination, your right to use the Service ends; provisions intended to survive termination will continue to apply.
11. Changes to these Terms
We may update these Terms as the Service evolves out of beta. Material changes will be communicated through the Service or by email. Continued use after an update constitutes acceptance of the revised Terms.
12. Governing law
The governing law and venue for these Terms will be specified here upon legal review. [Placeholder — to be determined.]
